BAWSE MOM SUMMIT SPEAKER AGREEMENT
THIS GENERAL SERVICE AGREEMENT (the "Agreement") is dated this 24th day of January, 2025.

WHEREAS:
- The Organizer is hosting the 4th Annual Bawse Mom Summit on March 14-15, 2025 (the "Event") to empower and support moms balancing motherhood and personal goals.
- The Speaker has been invited to participate as the SPEAKER at the Event.
NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:
1. KEYNOTE Speaker Role and Responsibilities
1.1. The Speaker agrees to participate in the Event as a SPEAKER and fulfill the following responsibilities:
- Assigned fireside chat as outlined in formal invitation on the summit day, 15th of March.
- Prepare and deliver high-quality, relevant, and engaging content aligned with the Event theme.
1.2. The Keynote Speaker agrees to arrive at the Event on time and attend all scheduled activities related to their role.
2. Compensation and Benefits
2.1. This is a volunteer opportunity, and no monetary compensation will be provided.
2.2. As a token of appreciation, the Keynote Speaker will receive:

- Complimentary admission to the VIP Night and the Summit.
- A Speaker Gift Bag.
- A plus-one ticket for the VIP Night.
- Affiliate commission earnings (optional).
3. Promotion and Branding
3.1. The Organizer will feature the Keynote Speaker’s name, photo, and biography in Event promotional materials, including the website, social media, and event program.
3.2. The Speaker agrees to provide high-resolution photos, a short bio, and any relevant details by January 30, 2025 to ensure timely inclusion in marketing materials.

3.3. The Speaker agrees to promote the event and their participation using provided marketing material via social media and within their network.
4. Intellectual Property
4.1. The Keynote Speaker retains ownership of all intellectual property rights in their presentation materials.
4.2. The Keynote Speaker grants the Organizer permission to use their name, likeness, and presentation content for promotional and educational purposes related to the Event.

5. Termination and Withdrawal
5.1. Either party may terminate this Agreement in writing if:
- The other party materially breaches this Agreement and fails to remedy the breach within 10 business days of receiving written notice.
- The Event is canceled for reasons beyond the Organizer’s control.
5.2. If the Speaker withdraws from their role after signing this Agreement, they must provide written notice to the Organizer no later than January 31, 2025.
6. Code of Conduct
6.1. The Keynote Speaker agrees to uphold the values of The Bawse Mom Movement and behave professionally at all times during the Event.
6.2. The Organizer reserves the right to remove any Speaker whose conduct is deemed inappropriate or harmful to the Event or its participants.

7. Indemnification
7.1. Each party agrees to indemnify and hold harmless the other party from any claims, liabilities, or damages arising from their respective obligations under this Agreement, except in cases of gross negligence or willful misconduct.
8. Governing Law and Dispute Resolution
8.1. This Agreement will be governed by and construed in accordance with the laws of the state of GEORGIA.
8.2. Any disputes arising under this Agreement shall first be resolved through good-faith negotiation. If unresolved, disputes will be settled through binding arbitration in ATLANTA, GEORGIA.

9. Entire Agreement
9.1. This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements or understandings.
